Distribution Law

Distribution brings goods and services to the market. Distribution structures can be both vertical and horizontal. There is direct distribution and distribution through third parties. Distribution organizations belonging to companies, external distribution organizations such as, e.g. commercial agents, authorized dealers, franchisees or commercial brokers also belong to this field.

Distribution law is not standardized. Sometimes distribution models - such as, e.g. commercial agents - are regulated by law  (§§ 84 to 92c HGB, the commercial broker §§ 93 to 104 HGB). On the other hand the rights of authorized dealers or franchisees are not regulated by law.

Commercial agency law is today regulated within the EU thanks to the directive 86/653/EWG of 18.12.1986. Differences arise as different countries implement it in slightly different ways.
